Terms & Conditions

These Terms & Conditions (“Terms”) govern your access to and use of the website, software platforms (including OneClick), consulting services, and other offerings provided by Pro People Tech LLC (“ProPeopleTech”, “we”, “our”, or “us”).
By accessing our website or using our Services, you agree to be bound by these Terms. If you do not agree, you should not access or use our Services.
1. Scope of Services
ProPeopleTech provides business-to-business services including:
- Software-as-a-Service (SaaS) platforms (including OneClick);
- Retail operations intelligence systems;
- IT consulting and advisory services;
- Custom software development and system integrations;
- Operational analytics and workflow architecture.
Certain services may be governed by separate agreements, such as Master Services Agreements (MSA), Statements of Work (SOW), or SaaS subscription agreements. In the event of conflict, those agreements will control.
2. Eligibility
Our Services are intended for business use. By using our Services, you represent that you are authorized to act on behalf of a business entity and to bind that entity to these Terms.
3. Use of Website
You agree not to:
- Use the website for unlawful purposes;
- Attempt to gain unauthorized access to systems or data;
- Interfere with website functionality or security;
- Copy, scrape, or redistribute content without permission.
4. SaaS Platform Access
Access to our software platforms is granted on a subscription or contractual basis. You are responsible for maintaining confidentiality of login credentials and ensuring that users within your organization comply with internal access controls.
We reserve the right to suspend or terminate access if:
- Payment obligations are not met;
- There is misuse or abuse of the platform;
- Security risks are detected;
- Terms are violated.
5. Custom Development & Consulting Engagements
Custom development and consulting services are delivered under agreed project scopes. Deliverables, timelines, and responsibilities are defined in writing prior to engagement.
Unless otherwise specified in a signed agreement:
- All work remains the intellectual property of ProPeopleTech until full payment is received;
- License rights may be granted upon completion of payment;
- Modifications outside scope may require additional fees.
6. Intellectual Property
All content, software, design, workflows, and proprietary methodologies provided through our Services are the intellectual property of ProPeopleTech unless otherwise agreed.
You may not:
- Reverse engineer or decompile our software;
- Reproduce proprietary systems without authorization;
- Resell or sublicense the platform without written consent.
7. Fees and Payments
Pricing for SaaS subscriptions and consulting services is determined based on the scope of operations, dealer requirements, legal compliance considerations, and system complexity. We do not publish standardized pricing.
Payment terms are defined in written agreements. Failure to meet payment obligations may result in suspension of Services.
8. Subscription Billing, Refunds & Cancellation
8.1 Subscription Fees and Billing
SaaS subscriptions are billed in advance on a recurring monthly basis (unless otherwise stated in writing). By subscribing, you authorize Pro People Tech LLC to charge your selected payment method on a recurring basis for the agreed subscription amount, plus any applicable taxes or government fees where required.
- Billing date: Charges occur on or around the agreed billing date each month.
- Receipts/invoices: We may provide receipts or invoices electronically.
- Changes: If pricing or billing terms change, we will provide notice consistent with applicable law and agreements.
8.2 No Refund Policy
All payments are non-refundable once processed. Because our software is a digital service that grants access upon payment, we do not provide refunds or credits for:
- Partial-month usage or unused time;
- Failure to use the service;
- User error, misconfiguration, or internal operational decisions;
- Business downtime or interruptions not solely caused by our systems.
8.3 Billing Errors
If you believe you were charged incorrectly, you must notify us within 7 days of the charge at info@propeopletech.com. We will investigate and correct verified billing errors.
8.4 Service Credits for Material Outages
If there is a material service outage caused solely by ProPeopleTech exceeding 24 consecutive hours, we may, at our sole discretion, provide a service credit applied to a future billing cycle. Service credits are not cash refunds and cannot be transferred.
8.5 Cancellation Policy
You may cancel your subscription at any time by submitting a cancellation request to info@propeopletech.com (or via your account dashboard if enabled). To avoid being charged for the next billing cycle, cancellation must be received at least 48 hours before your next billing date.
- Access after cancellation: Your access will remain active until the end of your current billing period.
- No proration: No refunds or prorated credits are issued for the remaining portion of a billing period.
8.6 Failed Payments, Suspension, and Termination
If a payment fails, we may suspend access until payment is successfully processed. If payment is not received within 7 days, we may terminate or disable the account and related access, subject to any separate written agreements.
8.7 ACH Payment Authorization
By providing bank account information (including via third-party payment processors), you authorize Pro People Tech LLC to initiate recurring ACH debits for the agreed subscription amount on or around your billing date each month. You agree to maintain sufficient funds, and you acknowledge that failed payments may result in suspension of service.
You may revoke ACH authorization by cancelling your subscription prior to the next billing cycle in accordance with these Terms. Disputes must be raised within 7 days of the charge.
9. Data Responsibilities
Clients are responsible for:
- Ensuring accuracy of data entered into the platform;
- Compliance with applicable employment and financial regulations;
- Proper internal controls within their organization.
ProPeopleTech does not assume responsibility for business decisions made based on platform outputs or reports.
10. Confidentiality
Both parties agree to treat non-public information exchanged during engagements as confidential. Confidential information may not be disclosed without written consent, except as required by law.
11. Disclaimers
Services are provided “as is” and “as available.” We do not warrant that:
- The platform will be uninterrupted or error-free;
- All operational outcomes will improve;
- Outputs will guarantee financial performance.
12. Limitation of Liability
To the fullest extent permitted by law, Pro People Tech LLC shall not be liable for:
- Indirect, incidental, or consequential damages;
- Loss of profits or revenue;
- Operational downtime beyond reasonable control.
Total liability shall not exceed the fees paid to us in the twelve (12) months preceding the event giving rise to the claim.
13. Indemnification
You agree to indemnify and hold harmless Pro People Tech LLC from claims arising out of:
- Misuse of Services;
- Violation of laws or regulations by your organization;
- Infringement resulting from client-provided content.
14. Termination
Either party may terminate Services pursuant to the governing agreement. Upon termination, access may be revoked and data handling will follow contractual retention terms.
15. Governing Law
These Terms shall be governed by and interpreted under the laws of the United States and the state in which Pro People Tech LLC is registered, without regard to conflict of law principles.
16. Changes to Terms
We may update these Terms periodically. Continued use of our website or Services after updates constitutes acceptance of the revised Terms.
